Terms of Service

Welcome to ValuX. These Terms of Service ("Terms") govern your access to and use of the ValuX website and SaaS valuation and metrics platform (collectively, the "Service"). Please read these Terms carefully before using the Service.

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Changes to Terms

We may modify these Terms at any time. If we make changes, we will provide notice by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after the changes have been posted constitutes your acceptance of the revised Terms.

3. Account Registration and Security

To use certain features of the Service, you may need to create an account. You are responsible for:

  • Providing accurate and complete information when creating your account
  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access to or use of your account

We reserve the right to disable any user account at any time if, in our opinion, you have failed to comply with these Terms.

4. Subscription and Payment

Some features of the Service require a paid subscription. By subscribing to a paid plan, you agree to the following:

  • You authorize us to charge the payment method you provide for the subscription fees and any applicable taxes.
  • Subscriptions automatically renew unless canceled before the renewal date. You can cancel your subscription at any time through your account settings.
  • We may change subscription fees upon notice. If you do not agree to the fee changes, you must cancel your subscription before the next renewal date.
  • Refunds are provided in accordance with our Refund Policy.

5. User Content

The Service allows you to input, upload, or otherwise provide data, information, and materials (collectively, "User Content"). You retain all rights to your User Content, but you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display your User Content solely for the purpose of providing and improving the Service.

You represent and warrant that:

  • You own or have the necessary rights to your User Content
  • Your User Content does not violate the rights of any third party
  • Your User Content complies with all applicable laws and regulations

6. Prohibited Conduct

You agree not to:

  • Use the Service in any way that violates any applicable law or regulation
  • Use the Service to transmit any material that is defamatory, offensive, or otherwise objectionable
  • Attempt to interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any part of the Service
  • Use any robot, spider, or other automated device to access the Service
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Use the Service to collect or harvest personal information about other users

7. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by ValuX and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not use, reproduce, distribute, modify, create derivative works of, publicly display, or exploit the Service in any way without our prior written consent.

8. Third-Party Links and Services

The Service may contain links to third-party websites or services that are not owned or controlled by ValuX. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that ValuX shall not be responsible or liable for any damage or loss caused by your use of any such third-party websites or services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALUX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL BE LIMITED TO THE AMOUNT PAID BY YOU TO VALUX FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

11. Indemnification

You agree to indemnify, defend, and hold harmless ValuX and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to your use of the Service, your User Content, or your violation of these Terms.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in San Francisco, California, and you consent to the personal jurisdiction of such courts.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ValuX regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter.
